Carry out a thorough analysis (due diligence) of the target business, including financial, legal, fiscal and operational aspects, to identify risks and opportunities;
Assistance in structuring the transaction, including choosing the right legal form and optimizing the tax and legal aspects of the merger or acquisition;
Negotiating and drafting merger or acquisition contracts, ensuring that all key aspects of the transaction are correctly specified, in accordance with the parties’ negotiations;
Assistance/representation before potential funders, in order to obtain the necessary funding;
Assistance/representation in order to obtain the necessary authorizations, opinions and approvals from the competent authorities.
